Business to Business Terms and Conditions

Important: These Terms and Conditions apply exclusively to B2B clients (companies, professionals, retailers with a VAT number). The application of consumer protection regulations is expressly excluded. By placing an order, the Customer declares that they have read and fully accepted these Terms and Conditions.
1 Seller's Subject and Data
These Terms and Conditions govern the offer and sale of personalized car air fresheners and related products by Forplane S.L. (hereinafter, "Sentorette").

2 Orders, Drawings and Tolerances
Ordering Procedure: The order is binding only after approval of the graphic draft ("Visto Si Stampi") and receipt of payment.
Files and Responsibilities Executive files are provided by the Client. Sentorette does not perform credit checks on texts or layout. Approval of the "Print Approved" releases Sentorette from any aesthetic or textual defects present in the original file.
Industrial Tolerances: The Client accepts a tolerance of up to 5% on delivered quantities, slight color variations compared to the monitor and millimeter deviations in die-cut cutting.
3 Intellectual Property and Indemnification
The Client declares to own all rights for the use of the logos and trademarks provided. The Client undertakes to fully indemnify and hold harmless Sentorette from any claim, penalty or legal action brought by third parties for copyright infringement arising from the reproduction of the provided files.
4 Delivery Times and Warranty B2B
Delivery times communicated are purely indicative and not binding. Unless otherwise agreed, goods travel at the risk and peril of the Customer from the moment of delivery to the carrier.
Claims: Any visible defects must be reported within no more than 8 (eight) days of receipt of the goods via PEC or registered mail. The warranty is limited to free replacement or issuance of a credit note.
Exclusion of Recess
Since the contract is between professionals (B2B) and concerns custom-packaged goods, the right of withdrawal is entirely excluded (as per art. 59 of the Consumer Code).
Expert Forum
This contract is governed exclusively by Italian law. For any dispute, the exclusive jurisdiction shall be that of the Court of Venice.
CLP Regulation and Safety
The Client acknowledges acting as a distributor in its own market. It assumes exclusive responsibility for verifying that the Product, packaging and informational materials are compliant with chemical regulations (REACH, CLP) in force in the country where the Products will be marketed. Sentorette declines any liability for inadequate labeling by the Client.
